Emerging Growth Companies “Checkbox” Update on SEC Forms (including 8-K, 10-Q/K, S-1/3/4/11)
As of recently, the Securities and Exchange Commission has adopted technical amendments for the self-executing provisions of the JOBS Act. This in particular relates to Emerging Growth Companies (ECGs) and has an impact on the filing of many SEC forms, including forms 8-K, 10-Q/K, and S-1/3/4/11. The cover page of these affected forms now has two sections that have “checkbox” items pertaining to ECG status and if the filing entity has elected not to use the extended transition period. Filers in particular should pay attention to these items and make sure they are using the up-to-date forms for this upcoming filing period and beyond.
